1. Definitions

"Company," "we," "us," "our" refers to ReadyPackets Consulting LLC, a professional consulting company. "Client," "you," "your" refers to any individual or entity that accesses our website, uses our portal, or engages our services. "Services" refers to all document preparation, consulting, and professional services offered by ReadyPackets. "Packet" refers to any bundle of documents, deliverables, or work product prepared by ReadyPackets. "Portal" refers to the customer portal accessible at our website for order management, messaging, and file exchange.

2. Nature of Services

ReadyPackets provides professional business document preparation and consulting services. We prepare business plans, IP documentation, SOPs, bid packets, operational frameworks, and digital platform deployments.

3. Account Registration & Security

To access the customer portal, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Orders, Pricing & Payment

Orders are placed through our website checkout or portal. All prices are listed in U.S. Dollars and are subject to change without notice. Published prices apply at the time of order placement. Custom quotes are valid for 30 days. Payment is due at the time of order unless otherwise agreed in writing, processed securely through Stripe. Prices do not include applicable sales tax, VAT, or other government-imposed fees.

5. Service Delivery & Timelines

Estimated delivery timelines are provided on our service pages and at the time of order. These are estimates, not guarantees. Actual delivery may vary based on project complexity, client responsiveness, and volume. Delivery is considered complete when the final packet is made available for download in your portal or sent to your email.

6. Revisions

Each packet tier includes one (1) round of revisions unless otherwise stated. A "revision" means modifications to the existing deliverable based on your feedback. Revisions must be requested within 14 days of initial delivery. Additional revision rounds may be purchased at quoted rates. Requests that significantly expand the original scope constitute a new order.

7. Intellectual Property

Your Content: You retain all ownership rights to materials you provide to us. You grant us a limited, non-exclusive license to use it solely to deliver your ordered services. Our Deliverables: Upon full payment, you receive full ownership of custom deliverables we create for you. We retain the right to use anonymized, non-confidential elements for internal improvement. Our Tools: Our proprietary templates, frameworks, and methodologies remain our intellectual property.

8. Confidentiality

We treat all client information, business ideas, documents, and communications as confidential. We will not disclose your information to third parties without your consent, except as required by law or as described in our Privacy Policy. This obligation survives termination.

9. Refund Policy

Please refer to our separate Refund Policy for complete details. In summary: cancellations before work begins receive a full refund minus 5% processing fee; cancellations after work begins receive a partial refund based on completion; no refund after final delivery and acceptance; quality guarantee applies if deliverable materially fails to meet agreed scope.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Our total liability shall not exceed the amount you paid for the specific service giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages. We are not responsible for business outcomes, investment decisions, legal filings, or regulatory compliance decisions made based on our deliverables. We are not liable for delays caused by circumstances beyond our reasonable control.

11. Indemnification

You agree to indemnify and hold harmless ReadyPackets Consulting LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you provide to us.

12. Dispute Resolution

Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules . Each party shall bear its own costs.

13. Acceptable Use

You agree NOT to: use our services for any unlawful purpose; submit false or fraudulent information; attempt unauthorized access to other accounts or systems; upload malicious code; interfere with our website operations; scrape or use automated tools without permission; reproduce or resell our deliverables as your own product; or infringe on any third party's intellectual property rights.

14. Termination

Either party may terminate the service relationship at any time. Upon termination, you retain access to download completed deliverables for 90 days. Sections on confidentiality, intellectual property, limitation of liability, and indemnification survive termination.

15. Governing Law

These Terms shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

16. Modifications

We may modify these Terms at any time. Material changes will be communicated at least 30 days before taking effect. Your continued use constitutes acceptance.
